Mutual NDA vs One-Way NDA
What it means
A one-way NDA (sometimes called unilateral) binds one party to keep the other's information secret. A mutual NDA binds both. The distinction sounds procedural and is not: it decides whether the obligations, and the risks that come with them, are shared.
A one-way NDA is appropriate when only one side is actually disclosing anything — a company sharing financials with a potential buyer, for instance. It becomes inappropriate the moment both sides start talking, which in practice is most conversations. If you are describing how your process works while they describe what they need, you are both disclosing, and only one of you is protected.
The practical difference shows up in the drafting. A one-way NDA has no reason to be balanced, so its definitions tend to be broad, its carve-outs thin, and its remedies one-sided — injunctive relief for them, nothing for you. A mutual NDA has to be liveable for both parties, and the terms are usually more reasonable as a result, because whoever drafted it knew they would be bound by it too.
Converting one to the other is often a small edit. Many one-way NDAs become mutual by changing the defined parties and making a handful of pronouns symmetrical. It is one of the easier things to ask for and one of the more common things to be granted.
