What it means

An auto-renewal clause means the contract renews itself unless somebody actively stops it. You sign for a year; twelve months later it quietly becomes another year, on the same terms, without anyone signing anything.

Three numbers control it. The renewal term — usually the same length as the original, sometimes longer. The notice period — how far in advance you must say no, commonly 30, 60 or 90 days before the renewal date. And any price escalation that applies on renewal, which may be a fixed percentage or tied to an index.

The notice period is the trap. A 90-day notice window on an annual contract means the decision point is nine months in, not twelve, and the window is often only a few weeks wide: too early and the notice may be invalid, too late and you are locked in for another full term. Miss it and your only options are paying for a year you did not want or negotiating an exit from a position of no leverage.

Also check how notice must be given. Contracts that require written notice by certified mail to a specific address will not accept an email to your account manager, however clearly you said it.

Auto-renewal is not inherently unfair — it saves everyone re-papering a relationship that is working. It becomes a problem when the notice period is long, the renewal term is long, and nothing reminds you.
