Notice Period
What it means
A notice period is how far in advance you must tell the other party before doing something the contract allows — terminating, declining a renewal, disputing an invoice, or objecting to a change.
The number is only half of it. The notice provision usually also specifies the method and the address, and both are enforceable requirements rather than formalities. Contracts routinely require written notice delivered by hand, certified mail or recognised courier to a named legal contact. Under such a clause, an email to your day-to-day contact may not count, however clearly it communicated your intention and however obviously they understood it.
Watch when the clock starts. Notice may be effective on dispatch, on receipt, or a fixed number of days after mailing, and the difference decides whether a notice sent on the last possible day actually landed in time.
Different notice periods often apply to different rights within the same contract: 30 days to terminate for convenience, 60 days to decline auto-renewal, 10 days to cure a breach. They are rarely collected in one place, which is how the wrong one gets used.
The practical protection is to extract each deadline when you sign, count backwards from the date it bites, and put a reminder somewhere you will actually see it. A notice period only protects you if you act inside it, and the cost of missing one is usually another full contract term.
